TERMS & CONDITIONS

These Terms & Conditions govern use of the website and purchase of services from The Black Sheep Business Support Co. They should be read alongside any separate proposal, quotation or service agreement.

Services

We provide business support, HR administration, payroll administration, recruitment support, project support and related services as agreed with the client. Scope and deliverables will be set out in the relevant proposal or agreement.

Quotes and acceptance

Quotes and proposals are valid for the period stated. An engagement is confirmed when accepted and any required first payment/deposit has been received.

Fees and payment

Fees, payment dates and methods will be stated in the relevant proposal or invoice. Unless otherwise agreed, invoices are payable within 7 days. Late payment may result in work being paused.

Client responsibilities

Clients must provide accurate, complete and timely information and access needed to perform the work. Delays caused by missing information or unavailable systems may affect delivery.

Changes and additional work

Work outside the agreed scope may be charged separately. Material additional work will be agreed with the client.

Confidentiality

Client information will be treated as confidential and used only as necessary to provide services, comply with law or protect legitimate business interests.

Data protection

Personal data will be handled in accordance with our Privacy Policy and, where applicable, a Data Processing Agreement or other data protection terms.

Intellectual property

Pre-existing templates, methods, systems and know-how remain the property of The Black Sheep Business Support Co. Paid-for client-specific deliverables may be used by the client for its own business purposes unless otherwise agreed.

Liability

Nothing excludes or limits liability where unlawful. Any engagement-specific liability provisions should be set out in the service agreement.

Cancellation and termination

Cancellation and notice arrangements will be set out in the relevant service agreement. Work completed and properly incurred expenses remain payable.

Cancellation, Notice & Termination of Services

1. Cancelling before services begin

If you decide not to proceed with an agreed service before work has started, please let us know as soon as possible.

Any work already completed or costs properly incurred before cancellation remain payable.

Where a deposit or advance payment has been agreed, the relevant proposal or service agreement will state whether it is refundable.

2. Ongoing support packages

For ongoing support packages, including The Lamb, The Ewe and The Black Sheep, the applicable notice period will be stated in your proposal or service agreement.

During the notice period, services will continue as agreed and fees remain payable.

Unless otherwise agreed in writing, cancelling a recurring service does not automatically cancel fees that have already become due.

3. Project-based services

For project-based services, including The Sheepdog, cancellation arrangements will be set out in the relevant project proposal or agreement.

If a project is cancelled after work has begun, you will be responsible for paying for work completed up to the cancellation date and any non-refundable costs reasonably incurred on your behalf.

Where appropriate, we may also charge for work that has been committed or scheduled specifically for your project.

4. Unused hours

Where a package includes a set number of support hours, unused hours are not automatically refundable unless your agreement specifically says otherwise.

Unused hours may not be carried forward into a subsequent billing period unless agreed in advance.

5. Refunds

We will refund payments where a refund is required by law or where we have expressly agreed to provide one.

Fees relating to work already completed are generally non-refundable.

If you have paid in advance for services that have not yet been provided, any refund will be considered in accordance with the terms of your agreement and applicable law.

6. Cancellation by The Black Sheep Business Support Co.

We may suspend or terminate services where:

  • Invoices remain unpaid;

  • You repeatedly fail to provide information or access needed to complete the work;

  • You ask us to carry out unlawful or inappropriate activity;

  • You behave abusively, threateningly or inappropriately towards us;

  • Continuing the engagement would create a serious legal, ethical, security or professional risk.

Where reasonably possible, we will provide notice before terminating an engagement.

7. Immediate termination

We may terminate an engagement immediately where there is a serious breach of contract, unlawful activity, a serious security or data protection concern, or conduct that makes it unreasonable or unsafe for us to continue providing services.

Any fees properly due for work already completed remain payable.

8. What happens when services end

When an engagement ends, we will work with you to complete any agreed handover.

Client information and personal data will be returned, transferred or securely deleted in accordance with the applicable agreement and our data protection obligations.

9. Changes to an engagement

If you need to change or reduce the services you receive, please speak to us as soon as possible.

We will always try to find a solution that works for both sides, but changes to hours, services, packages or project scope may require an updated agreement or notice period.

10. Your legal rights

Nothing in these terms is intended to exclude or restrict any rights you may have under applicable consumer or other legislation.

Where you are a business customer, the cancellation and termination provisions in your individual proposal or service agreement will apply.
